The Board of Ind-Swift Limited has noted the receipt of the certified copy of the NCLT Chandigarh order dated July 17, 2025, sanctioning the Scheme of Amalgamation of Ind-Swift Limited (Transferor) with Ind-Swift Laboratories Limited (Transferee). The appointed date for the merger is March 31, 2024, and the scheme will become effective from August 8, 2025, upon filing of E-Form INC-28. Consequently, Ind-Swift Limited will stand amalgamated into Ind-Swift Laboratories Limited and dissolved without being wound up from August 8, 2025. The Board has fixed August 14, 2025 as the Record Date to determine eligible shareholders who will receive shares of the Transferee Company in lieu of their existing holdings.
Ind-Swift Limited shareholders will receive shares of Ind-Swift Laboratories Limited in exchange for their existing shares based on the swap ratio under the scheme. After August 8, 2025, Ind-Swift Limited will cease to exist as a separate listed entity, and its stock will be delisted, with shareholders becoming shareholders of Ind-Swift Laboratories Limited.
