Allcargo Gati has informed stock exchanges that the NCLT Mumbai Bench, at its hearing on September 24, 2025, has reserved the matter for orders in connection with the Composite Scheme of Arrangement. The scheme involves five Allcargo group entities — Allcargo Logistics (Demerged Company), Allcargo Supply Chain (ASCPL), Gati Express & Supply Chain (GESCPL), Allcargo Gati itself, and Allcargo Global (Resulting Company). The scheme is being pursued under Sections 230 to 232 of the Companies Act, 2013. This is the latest update after earlier intimations on July 11, 2025 and August 14, 2025.
The NCLT reserving the matter for orders is a key procedural milestone — hearings are complete and a ruling is expected shortly. Approval would consolidate and simplify the Allcargo group structure, potentially unlocking shareholder value, though final terms (including any share swap ratios) will determine the actual impact on existing Gati shareholders.
