PNC Infratech, along with its wholly owned subsidiary PNC Infra Holdings, has sold its entire stake in PNC Bareilly Nainital Highways Private Limited (a highway SPV) to Vertis Infrastructure Trust (InvIT). The transaction was concluded at an enterprise value of Rs 716.2 crore, of which Rs 153.48 crore was received against equity and debentures, and Rs 239.35 crore against unsecured loans, with an additional ~Rs 80 crore in receivables expected in due course. This is part of a larger Share Purchase Agreement signed on January 15, 2024 covering 12 identified SPVs; with this transfer, 11 out of 12 SPVs have now been handed over to the buyer. The last remaining SPV (PNC Challakere Karnataka Highways) is expected to be completed in H1 of FY26. The sold SPV contributed about 1% of consolidated revenue and had a marginally negative net worth, so the deal is mainly a portfolio restructuring exercise rather than a loss of meaningful earnings.
Brings in sizeable liquidity (roughly Rs 400+ crore in this tranche) and advances the company's road-asset monetisation plan, which should support debt reduction and free up capital. Short-term stock impact is likely neutral, but completion of the full 12-SPV deal will be a key milestone for investors to watch.
