PNC Infratech, along with its wholly owned subsidiary PNC Infra Holdings, has completed the sale of its equity stake in PNC Challakere (Karnataka) Highways Private Limited, a Hybrid Annuity Mode (HAM) road project, to Vertis Infrastructure Trust (VIT), sponsored by KKR affiliates. This marks the final tranche of a strategic divestment announced in January 2024 covering 12 road assets (11 NH HAM projects and 1 State Highway BOT Toll project) spanning about 3,800 lane-km across Uttar Pradesh, Madhya Pradesh, Karnataka, and Rajasthan. The transaction was concluded at an Enterprise Value of Rs. 683.84 crore, which includes Rs. 80.48 crore towards equity and Rs. 134.94 crore towards unsecured loans. With this completion, PNC Infratech has now divested all 12 assets under the original definitive agreement. The company says the proceeds will help strengthen its balance sheet and fund future investment opportunities.
