PNC Infratech, along with its wholly owned subsidiary PNC Infra Holdings, has transferred its entire stake in PNC Challakere (Karnataka) Highways Private Limited to Vertis Infrastructure Trust (formerly Highways Infrastructure Trust) on March 27, 2026. This is the 12th and final SPV transfer under the Share Purchase Agreement originally signed on January 15, 2024. The deal was concluded at an Enterprise Value of Rs. 683.84 crore, comprising Rs. 80.48 crore for equity and Rs. 134.94 crore for unsecured loans. PNC Challakere contributed about 1.30% of consolidated revenue and 2.42% of consolidated net worth for FY25. The buyer is an unrelated InvIT, so it is not a related-party transaction.
The completion of all 12 SPV transfers marks the end of PNC Infratech's large asset-sale program, freeing up capital and reducing project-level debt on the books. Investors can expect improved liquidity and a leaner balance sheet, though the loss of these long-term toll/assets may slightly affect future annuity-style revenues.
