Polycab India's board, on May 6, 2025, approved a scheme to merge its wholly-owned subsidiary Uniglobus Electricals and Electronics Private Limited into itself. Uniglobus manufactures FMEG products such as LED drivers, luminaires, BLDC controllers, and surge protection devices, and reported a turnover of ₹1,752.8 million and net worth of ₹93.5 million as of March 31, 2025, against Polycab's turnover of ₹2,19,139.52 million and net worth of ₹96,634.09 million. Because Uniglobus is fully owned by Polycab, no new shares will be issued and no cash will change hands — Polycab's investment in Uniglobus will simply stand cancelled, leaving Polycab's shareholding pattern unchanged. The scheme will be implemented under Sections 230-232 of the Companies Act and is subject to shareholder, NCLT, and other regulatory approvals.
This is an internal consolidation of a small subsidiary into the parent with no dilution or change in shareholding, so existing shareholders are unaffected in the short term. Over time, the merger is expected to bring cost efficiencies, R&D integration, and a simpler corporate structure in Polycab's FMEG business.
