PPAP Automotive has signed a settlement agreement to sell its entire 50% stake in its joint venture PPAP Tokai India Rubber Private Limited (PTI) to its Japanese partner Tokai Kogyo Co. Ltd for Rs. 100 crores. The effective date is January 1, 2026, with expected completion by February 28, 2026. PTI contributed nil revenue to PPAP but had a net worth of Rs. 35.96 crores (about 12.5% of PPAP's net worth). PTI will cease to be a joint venture after the deal. The buyer is not part of the promoter group and the transaction is not a related-party deal.
PPAP will receive Rs. 100 crores in cash, strengthening its balance sheet by monetising a non-revenue-generating JV stake. For shareholders, this simplifies the group structure but removes a small associate entity; the deal should be viewed as a portfolio rationalisation rather than a material earnings event.
