Premier Energies will buy 1,04,082 Transcon Ind shares at Rs 48,069 each for Rs 500.3 crore in cash, giving it 51% control. Transcon will become a subsidiary, extending Premier's solar module business into power transformer manufacturing. Completion is expected within 90 days of signing, subject to conditions, and needs no regulatory approval.
The deal could support growth by adding power transformers and cross-selling opportunities. Near-term effects depend on completion and integration of the newly formed target.
