Premier Energy and Infrastructure Ltd's board has approved the acquisition of 100% shares of Gina Engineering Company Private Limited for a total cash consideration of Rs. 200 crores. Gina Engineering is a civil engineering and construction company incorporated in 1988, with FY25 provisional revenue of Rs. 508.31 crores and profit after tax of Rs. 21.10 crores. The company has shown strong revenue growth, climbing from Rs. 195.30 crores in FY23 to Rs. 372.20 crores in FY24. Post-acquisition, Gina Engineering will become a wholly-owned subsidiary, supporting Premier Energy's inorganic growth plans. The deal is expected to close within 3 months, subject to due diligence and regulatory approvals. Separately, the board also approved unaudited financial results for Q1 FY26 (quarter ended June 30, 2025), with the company reporting a standalone net loss of Rs. 16.78 lakhs versus a Rs. 24.97 lakh loss in the same quarter last year.
This is a meaningful inorganic growth step that adds over Rs. 500 crores of revenue and Rs. 21 crores of profit to Premier Energy's books, meaningfully scaling up the company. Shareholders should note that the Rs. 200 crore cash outlay is significant relative to the company's size and Q1 standalone operations were negligible, so execution and integration of Gina Engineering will be key to the deal creating value.
