Pro Fin Capital Services held its Extra Ordinary General Meeting on December 23, 2025, from 11:30 AM to 12:15 PM in Mumbai. Two ordinary resolutions were put to vote with a total of 53,039,718 shares participating (100% polling). Resolution 1, to increase the Authorized Share Capital and alter the Capital Clause of the Memorandum of Association, FAILED — 52,950,250 votes were cast against it versus only 89,468 in favour, as confirmed by scrutinizer S K Dwivedi & Associates. Resolution 2, to issue Bonus Shares, PASSED with overwhelming support — 53,039,658 votes in favour and just 60 against. Promoters (holding 12,922,983 shares) voted 100% in favour of both resolutions; public non-institutions held 40,116,735 shares.
This is a mixed outcome for shareholders. While the bonus share resolution was overwhelmingly approved, the prerequisite authorized capital increase failed, which could create a procedural roadblock to actually issuing the bonus shares. Investors may see short-term uncertainty on the stock until the company reconvenes to revisit the capital hike, though promoter and public support for the bonus issue remains strongly intact.
