Narbada Gems and Jewellery Limited held an NCLT-convened meeting of its equity shareholders on August 21, 2025 via video conferencing, which ran from 11:30 AM to 11:50 AM. The meeting, ordered by the NCLT Hyderabad Bench on June 13, 2025 and July 2, 2025, was attended by 109 equity shareholders. The sole agenda was to seek shareholder approval for the Scheme of Arrangement for Amalgamation of Narbada Gems (Transferor Company) with Uday Jewellery Industries (Transferee Company) under Sections 230-232 of the Companies Act, 2013. The resolution was passed with the requisite majority and declared duly approved. Shareholders have given their consent to the amalgamation, clearing a critical legal milestone. The scheme will now proceed for further NCLT and regulatory approvals, after which Narbada Gems shareholders will become shareholders of Uday Jewellery Industries as per the approved swap ratio.
