Prozone Realty's board has approved acquiring stakes in three material subsidiaries involved in developing and operating shopping malls, residential and commercial premises. Directly, it will buy 38.50% of Hagwood Commercial Developers for about USD 5.55 million. Through its wholly owned subsidiary Kruti Realtors, it will pick up 38.50% of Alliance Mall Developers for USD 9.91 million and 65.29% of Empire Mall for USD 16.68 million. All three deals are all-cash, not related-party transactions, and are aimed at consolidating ownership while providing an exit to foreign shareholders. The acquisitions are expected to close within 45 days, subject to regulatory approvals.
This is a consolidation move that strengthens Prozone Realty's control over its key mall and real estate subsidiaries, potentially streamlining decision-making and future earnings. Short-term stock reaction may be neutral as the deals are cash-funded and in the same line of business, but it removes foreign co-investors and could simplify the group structure.
