Prozone Realty's board, on 16th March 2026, approved acquiring stakes in three of its material subsidiaries in the shopping mall and real estate business. Directly, it will buy 38.50% of Hagwood Commercial Developers Private Limited for USD 5,554,970 (about 59.35 lakh shares). Through its wholly owned subsidiary Kruti Realtors and Developers, it will buy 38.50% of Alliance Mall Developers for USD 9,908,404 (14.43 lakh shares) and 65.29% of Empire Mall Private Limited for USD 16,681,384 (88.81 lakh shares). The combined acquisition outlay is roughly USD 32.1 million, paid entirely in cash. The deals are signed with selling shareholders Triangle Real Estate group entities, Pearlscope, and Nailsfield, and the company said the move is to consolidate ownership and provide an exit route to the foreign shareholders. All three target companies operate in the same line of business as Prozone, with combined turnover of around INR 176 crore in FY25.
For shareholders, this is a consolidation play that gives Prozone greater control over three operating mall and real estate entities, potentially improving decision-making and future earnings visibility. The cash outflow of about USD 32 million is sizable relative to typical promoter-group deals and may warrant watching for any impact on leverage or capex plans, though management framed it as an internal group restructuring with no related-party concerns.
