Purple Finance Ltd has informed BSE about a Public Announcement dated February 6, 2026, made by Allied Commodities Private Limited and Mr. Sandeep Jindal (the Acquirers) along with four PACs including Intellect Stock Broking, Intellect Money Finvest, Mr. Amitabh Chaturvedi, and AC Enterprises. The open offer has been triggered under Regulations 3 and 4 of the SEBI (SAST) Regulations 2011, following the Acquirers and PACs acquiring joint control over the company. The offer price is fixed at Rs. 55.00 per equity share, with a maximum consideration of approximately Rs. 97.06 crore assuming full acceptance. The Acquirers and PACs will become part of the Promoter/Promoter Group, holding 13.32% of the emerging voting share capital post-completion. Additionally, the board approved a preferential issue of 1,60,00,000 convertible warrants at Rs. 55 each, which partly triggered the open offer. The Acquirers have stated no intention to delist the company.
Existing public shareholders can tender their shares at Rs. 55.00 each in cash under the open offer. The change in promoter group composition and new control structure may affect stock sentiment, but the company will remain listed with no delisting planned.
