PVV Infra Ltd has announced a rights issue of up to 9,86,64,284 partly paid-up equity shares at ₹5.00 per share (face value ₹5.00, no premium), aggregating up to ₹49.33 crores. Eligible shareholders can subscribe in the ratio of 6 rights shares for every 7 fully paid-up equity shares held as on the record date of February 5, 2026. Investors need to pay only ₹1.25 (25% of issue price) on application, with the remaining ₹3.75 payable in one or more subsequent calls as decided by the Board. The issue opens on February 13, 2026 and closes on February 19, 2026, with renunciation allowed until February 16, 2026. The Board approved the Letter of Offer on January 30, 2026 and in-principle listing approval from BSE has been received.
Existing shareholders must decide whether to invest more capital to maintain their proportionate stake or let their rights lapse. Shareholders who do not act risk dilution of their ownership. The partly paid-up structure eases the immediate cash burden, as only 25% is payable upfront.
