Rainbow Childrens Medicare has approved the acquisition of a 76% equity stake and 100% of NCRPS in Pratiksha Women & Child Care Hospital Private Limited, a NABH-accredited 150-bed women and childcare hospital in Guwahati, Assam. The total enterprise value is approximately Rs. 171 crore, with Rainbow investing Rs. 129.96 crore in equity and Rs. 41.04 crore in NCRPS, fully funded from existing cash reserves and internal accruals. Currently 100 of the 150 beds are operational, with the remaining 50 expected to be operational within 6 months to support pediatric super-specialty services. This marks Rainbow's strategic entry into the Northeast region, expanding its network to 21 hospitals and around 2,185 beds across 8 cities. The deal is not a related party transaction, requires no regulatory approvals, and is expected to close within 30 days, after which the hospital will be rebranded as 'Pratiksha Rainbow Children's Hospital'.
This acquisition strengthens Rainbow's national footprint by adding a strong regional brand in an underserved market, potentially boosting long-term revenue and patient volumes. Near-term impact may be neutral as the hospital is being integrated and bed capacity ramps up, but the all-cash deal preserves balance sheet flexibility and avoids shareholder dilution.
