Rama Steel Tubes board approved 100% acquisition of UAE-based Automech Group Holding Limited (8 subsidiaries) for AED 296 million, about Rs 728 Crores. RST International Trading FZE (wholly owned subsidiary) will buy 78.38% for AED 232 million in cash, while Rama Steel acquires 21.62% for AED 64 million via fresh equity shares. Automech FY24 turnover was AED 192.30 million and assets AED 198.73 million. The deal targets geographic expansion into UAE, GCC and Europe across steel fabrication, construction, marine, energy and infrastructure sectors. Completion expected in 5-6 months.
Share-swap component means fresh equity dilution for existing shareholders. Large overseas acquisition diversifies revenue but adds integration and forex risk. Not a related party deal.
