On the reaction day the stock moved 2.2 pts less than Nifty Microcap 250 and 2.5 pts less than its Computers - Software & Consulting peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
RateGain agreed to acquire Sojern through wholly owned subsidiary RateGain Merger Sub. On October 29, 2025, its UK unit signed a secured 125 million dollar term loan with HSBC and Citibank for the deal, repayable within 48 months. RateGain and two US subsidiaries also gave a 137.5 million dollar guarantee. The target and group companies provide security. No loan amount was outstanding at signing, and RateGain expects no guarantee impact.
Funding supports the Sojern acquisition but raises debt and guarantee risk. It was undrawn at signing; interest and repayments can weigh on returns.
