On the reaction day the stock moved 1.0 pts less than Nifty Smallcap 250 and 0.3 pts less than its Private Sector Bank peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
Emirates NBD will make a mandatory open offer for up to 415,586,443 RBL Bank shares, equal to 26% of expanded voting capital, at Rs 280 per share in cash. Full acceptance would cost Rs 116.36 billion. Separately, it plans to subscribe up to 959,045,636 new shares, or 60%, for up to Rs 268.53 billion. This would give it 60% to 74% ownership, control and promoter status while RBL Bank remains listed. Closing needs shareholder and regulatory approvals.
The Rs 280 cash offer may lift the price, but issuance can dilute holders. Control by a foreign owner could reshape strategy, subject to approvals.
