Emirates NBD Bank will make an open offer for up to 415,586,443 RBL Bank shares, equal to 26% of expanded voting capital, at Rs 280 per share in cash, implying up to Rs 116.36 billion. It also agreed to subscribe to up to 959,045,636 new shares for up to Rs 268.53 billion, targeting 51% to 74% ownership and sole control. The deal needs several approvals; RBL Bank is expected to remain listed.
Eligible shareholders may tender at Rs 280 per share. Control could support the stock, but approval and closing risks remain.
