Emirates NBD Bank (P.J.S.C.), a Dubai-based foreign bank, has initiated an open offer to acquire up to 415,586,443 equity shares of RBL Bank Limited, representing 26% of the Expanded Voting Share Capital. The offer price is ₹280 per equity share. SEBI has issued an observation letter dated April 13, 2026, but the dispatch of the Letter of Offer is pending receipt of several statutory approvals including DPIIT Approval, RBI approval for amended board composition, shareholder approvals, and SEBI approval for change in control of various licenses. The tendering period will commence within twelve working days from receipt of the last required approval. If there is any delay in payment beyond the statutory timeframe, shareholders will receive interest at 10% per annum.
This open offer, if completed, would bring significant foreign ownership into RBL Bank, potentially strengthening the bank's capital base. The ₹280 offer price represents a premium to market and provides existing public shareholders an exit opportunity. However, completion is contingent on multiple regulatory approvals which may cause short-term uncertainty.
