Recode Studios has signed a Share Purchase Agreement on 14 July 2026 to acquire up to 51 percent equity stake in Aflairza Professionals Private Limited. The deal will be completed in two phases through a mix of secondary share purchase from existing shareholders and fresh equity subscription. Phase I of 33 percent stake is targeted by end of July 2026, with the balance by February 2027, subject to conditions precedent. Recode has placed Ms. Palak Trehan as its nominee director on Aflairza's board. The parties are unrelated and no conflict of interest has been identified.
