Reliance Power reported audited consolidated results for FY25 with revenue from operations at Rs 7,58,289 lakhs, slightly lower than Rs 7,58,289 lakhs last year. The company swung to a consolidated profit of Rs 2,94,783 lakhs in FY25 from a loss of Rs 2,06,838 lakhs in FY24, but this was almost entirely due to an exceptional one-time gain of Rs 3,23,042 lakhs from deconsolidation of subsidiary Vidarbha Industries Power Limited (VIPL), whose lenders invoked pledged shares in September 2024. Excluding exceptional items, the company still posted a pre-tax loss of Rs 18,313 lakhs. The Board re-appointed Independent Director Vijay Kumar Sharma (former LIC Chairman) for a second 5-year term from September 26, 2025, and appointed M/s Ashita Kaul & Associates as Secretarial Auditor for FY26–FY30. Statutory auditor Pathak H.D. & Associates LLP continues with an unmodified opinion, though auditors flagged material going concern uncertainty at subsidiary RSTEPL. The company also allotted 10.55 crore equity shares on May 7, 2025, on warrant exercise.
Profitability appears dramatically improved but is driven by a non-recurring accounting gain from losing control of VIPL rather than core operating performance, which remains loss-making. Shareholders may see mild short-term relief from the turnaround headline, but core business health is still weak with debt of over Rs 15,000 crores and going concern flags at a subsidiary. Mild dilution from warrant conversion is a minor negative.
