Religare Enterprises Limited (REL) has invested approximately ₹256.10 crores in its health insurance subsidiary, Care Health Insurance Ltd. (CHIL), by subscribing to its rights issue. REL was allotted 1,71,83,545 equity shares of face value ₹10 each at a premium of ₹139.04 per share. The Board of REL approved the subscription on September 18, 2025, and the allotment was completed on September 29, 2025. CHIL, which is Religare's material unlisted subsidiary, has 270 branches, over 11,000 professionals, and serves more than 3 million policyholders. The proceeds raised by CHIL will be used to fund its business expansion plans and to meet statutory solvency requirements. The transaction was carried out in cash at arm's length terms offered uniformly to all shareholders.
This is a significant capital infusion into Religare's health insurance arm, reinforcing CHIL's solvency position and supporting its growth.
