Remsons Industries is acquiring a 51.01% stake in Astro Motors Private Limited by issuing 3,19,994 equity shares on a preferential basis to Astro Motors' existing promoters at Rs. 132 per share (including Rs. 130 premium) in exchange for 26,400 equity shares of Astro Motors. NSE had raised queries on the original valuation report, prompting a revised report from the registered valuer that changed the weights assigned to different valuation methods. As a result, the weighted average fair value of Remsons' equity shares moved up from Rs. 124.53 to Rs. 131.46 per share. The company confirmed the issue price remains unchanged at Rs. 132 per share, which is now very close to the revised fair value.
The revised fair value (Rs. 131.46) is now nearly aligned with the issue price of Rs. 132, removing a key concern flagged by NSE and clearing a hurdle for the in-principle approval needed to complete the Astro Motors acquisition. This is a procedural update rather than a material change, and the deal terms for shareholders remain the same.
