Response Informatics' board, at its February 13, 2026 meeting, approved buying the remaining 33.33% (3,330 equity shares) in Datalabs AI Private Limited for cash at face value, making it a wholly owned subsidiary (up from 66.70%). The acquisition is a related-party transaction done at arm's length, with completion targeted in about 2 months and no government approvals needed. Datalabs AI is a tiny AI services and software firm incorporated in January 2024 with paid-up capital of just Rs. 1 lakh and FY25 turnover of Rs. 10 lakh. Alongside, the company reported standalone Q3 FY26 revenue of Rs. 229.10 lakh (down from Rs. 245.15 lakh YoY) and profit of Rs. 10.40 lakh, while consolidated Q3 revenue stood at Rs. 692.47 lakh with profit of Rs. 41.25 lakh. Datalabs AI itself reported a loss of Rs. 14.03 lakh for the quarter.
The acquisition is too small to materially affect the parent, but it gives full control over an early-stage AI subsidiary at negligible cost. Investors should watch whether Datalabs AI can turn profitable — it lost Rs. 60.96 lakh in 9M FY26 — as consolidation could add to consolidated losses if performance doesn't improve.
