Inspira Global, promoted by Aayush Agrawal, will acquire controlling stake in RBA (Burger King India operator) at Rs 70 per share, about 10% premium. Deal includes buying QSR Asia/Everstone's 11.26% stake for about Rs 460 crore, plus Rs 900 crore preferential equity and Rs 600 crore in warrants. Will trigger an open offer to public shareholders. Everstone exits completely. Subject to CCI and SEBI approvals.
Promoter change from Everstone to Inspira Global; open offer triggered, giving public shareholders an exit opportunity at the offer price.
