Route Mobile's board approved the acquisition of the AI-led Omnichannel Business of Heltar Technologies Private Limited through its wholly owned subsidiary, Route Connect Private Limited, via a slump sale on a going-concern basis. The deal is for a total consideration of about INR 33.66 crore — INR 23.88 crore upfront at closing and INR 9.77 crore deferred at 18 months — entirely in cash. Heltar provides AI-first omnichannel customer engagement solutions and posted revenue of INR 246.16 lakhs in FY26, up sharply from INR 10.79 lakhs in FY25. To fund this, Route Mobile will extend an unsecured loan/inter-corporate deposit of INR 35 crore to Route Connect at 9% annual interest over a 5-year term, with a right to convert the loan into equity of the subsidiary. The acquisition is expected to close in about 6 weeks and is not a related-party transaction.
The acquisition strengthens Route Mobile's AI and omnichannel communications capabilities, aligning with its core CPaaS business. Since the target is small (turnover ~INR 2.5 crore vs. Route Mobile's much larger scale), the financial impact is modest, but it adds AI-driven technology and talent. The loan is internal funding to a wholly owned subsidiary and is unlikely to materially affect consolidated financials.
