RPG Life Sciences transfers API biz to subsidiary, brings in PE investors, acquires Actis

RPG Life Sciences has transferred its API business to a wholly owned subsidiary, RPG Active Pharma, for about Rs. 33.55 crore on a slump sale basis. PE funds India Life Sciences Fund IV and Vistaject Fund will invest Rs. 243.33 crore (with aggregate commitment up to Rs. 700 crore) for around 40% stake in RPGAP. RPGAP will separately acquire 100% of Actis Generics Private Limited for Rs. 80 crore in cash. The API segment contributed 13.54% of FY26 consolidated revenue. The restructuring allows sharper focus on the Formulations business and funds growth in the API segment.
