Rubicon's wholly owned subsidiary Advagen Holdings signed a definitive agreement to buy Gen1E Lifesciences preferred shares. The deal provides USD 2 million cash in two tranches by March 2026 and up to USD 1 million through milestone-linked share issuance until December 2027. If all milestones are met, the investment would represent about 2.2% of Gen1E common stock. Gen1E develops pharmaceutical products, is based in California and has no revenue.
Rubicon gains a small foothold in drug development, but Gen1E has no revenue and returns are uncertain. Rubicon's exposure can reach USD 3 million.
