Ruchi Infrastructure Ltd has filed its annual Secretarial Compliance Report for FY 2025-26, certified by Practicing Company Secretary Prashant Diwan. The report shows general compliance with SEBI regulations including Secretarial Standards, policy updates, website disclosures, related party transactions, and insider trading norms. However, two deviations were noted: (1) approximately 3.99% of promoter group shareholding remains in physical certificate form instead of dematerialized form, violating Regulation 31(2) of SEBI LODR; and (2) the Company has not obtained a Special Contingency Insurance Policy as required by SEBI circular. The promoter demat issue is recurring - it has been flagged in secretarial reports since 2019-20 without full resolution. The Company has advised promoters to dematerialize their holdings and explains the insurance policy was not obtained based on cost-benefit analysis given low risk of duplicate share certificate requests.
The recurring promoter demat non-compliance is a minor regulatory concern but not expected to materially impact stock price. Shareholders should note that some promoter group entities have not fully transitioned to demat form, which is a long-standing observation without significant penalty action from regulators.
