Samvardhana Motherson International Limited (SAMIL) announced that its step-down subsidiary Motherson Technology Service SG Pte Ltd (MTS SG) will acquire the remaining 14.29% stake in Motherson Technology Services Kabushiki Gaisha (MTSKG) from minority shareholder Mr. Akihiko Yamauchi. MTSKG is a Japan-based software design and services company incorporated in 2013, with reported net sales of JPY 241.3 million (~USD 1.65 million) in FY24. Post-acquisition, MTS SG will own 100% of MTSKG, increasing SAMIL's beneficial interest from 85.71% to 100%. The deal is a cash transaction valued at JPY 4 million (~USD 27,390), purchased at face value, aimed at streamlining the holding structure. No regulatory approvals are required, and the deal is expected to close by Q1 FY26.
This is a minor, non-material acquisition that consolidates full ownership of a small Japan-based IT services subsidiary at face value. It should have negligible impact on SAMIL's financials or stock price, but it simplifies the group structure by eliminating the minority interest.
