Samvardhana Motherson International Limited (SAMIL) has approved the acquisition of the remaining 51% equity stake in Nissin Advanced Coating Indo Co. Private Limited from Japan's Nissin Electric Co. Ltd for a cash consideration of INR 9.23 Crores. Nissin India was already a joint venture between SAMIL's wholly owned subsidiary SMISL (49%) and Nissin Japan (51%); post-acquisition, Nissin India will become a 100% indirect wholly owned subsidiary of SAMIL. The target is in the thin film coating / PVD coating business for tools, molds, dies and automotive parts, with FY26 turnover of INR 30.4 Crores and EBITDA of INR 10.3 Crores. The deal is expected to close by end of Q1 FY27 and no regulatory approvals are required.
This is a small, bolt-on acquisition (purchase price of INR 9.23 Crores against a company with INR 30+ Crore turnover) that gives SAMIL full control of an existing JV. It is unlikely to move the stock price meaningfully but consolidates the PVD coating business under SAMIL, simplifying the group structure.
