SAMIL's board, on June 19, 2025, approved acquiring the remaining 25% stake in two Turkish joint ventures — SMR Plast Met Molds And Tools Turkey and SMR Plast Met Automotive Tec Turkey — from founder Mr. Erol Senol, who is exiting after over 4 years of partnership. SMR Automotive Mirrors Stuttgart GmbH, a wholly owned indirect subsidiary, will buy out the 25% for a cash consideration of EUR 3.225 million, making both entities 100% wholly owned indirect subsidiaries. The target companies manufacture injection moulded parts, sub-assemblies for mirrors, trim modules, and lighting systems, with combined revenues of EUR 27.30 million in FY2024-25, down from EUR 35.9 million in FY2022-23. The deal is expected to close by Q2 FY2025-26 (September 30, 2025), subject to Turkish antitrust approval. The transaction is not a related party transaction, and the target firms will continue operating under SAMIL's Vision Systems Division.
This is a minor, bolt-on acquisition that gives SAMIL full control over its Turkish operations under the Vision Systems Division without adding material revenue scale (combined turnover ~EUR 27 mn).
