SBEC Sugar Ltd's Committee of Independent Directors (IDC) has submitted its recommendation on the Open Offer made by SBEC Systems (India) Ltd (Acquirer) along with six persons acting in concert (PACs), including Jayesh Modi, Kumkum Modi, and Umesh Kumar Modi. The offer is to acquire up to 1,23,90,009 equity shares, representing 26% of the company's voting share capital, at a price of INR 21.19 per share (inclusive of INR 11.19 interest component). The total consideration works out to approximately INR 26.25 crore, payable in cash. The Offer is triggered under Regulations 3 and 4 of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, and was originally announced in June 2025 with the Letter of Offer dated October 14, 2025.
