Setco Automotive Ltd has completed the sale of 4,47,847 equity shares (approximately 41% on fully diluted basis) of its subsidiary Setco Auto Systems Private Limited (SASPL) to RSB Transmissions (I) Limited. The transaction closed on May 27, 2026. As a result, SASPL has ceased to be a subsidiary of Setco Automotive. The Purchaser has also acquired control over SASPL, including the right to control the board composition and management. This follows an earlier intimation from March 29, 2026 announcing approval of the Share Purchase and Subscription Agreement, Shareholders' Agreement, and Non-compete agreement.
This represents a significant divestment of a subsidiary, reducing Setco Automotive's consolidated structure. With loss of control over SASPL, investors should expect changes in the company's revenue base and future earnings profile. The stock may see volatility as the market reassesses the company's remaining business portfolio.
