Shadowfax Technologies is acquiring the remaining and final tranche of equity shares in Criticalog India Private Limited (CIPL), completing a three-tranche share purchase agreement originally signed on November 22, 2024. The final tranche involves 2,572 equity shares at ₹29,592 per share in cash consideration. With this acquisition, CIPL will become a wholly owned subsidiary of Shadowfax. Previously, Shadowfax had already acquired 72.31% equity stake and 100% of preference shares (89.59% on fully diluted basis) for ₹481.55 million. CIPL is a logistics company engaged in freight management, air and road express delivery, freight forwarding, warehousing, customs clearance, and supply chain management with FY25 turnover of ₹1,080.53 million.
Shadowfax consolidates its logistics capabilities by fully acquiring CIPL, a complementary freight and supply chain business, strengthening its capacity for high-value critical shipments. CIPL becoming a wholly owned subsidiary will consolidate Shadowfax's financials going forward.
