Shanti Overseas board approved divesting its full 100% stake in material subsidiary Shaan Agro Oils and Extractions, which contributed 51.13% (about Rs 962.94 Cr) of total income but had negative net worth of Rs 81.87 lakh. The 4,56,000 equity shares will be sold to Mr Abhishek Shivhare (not a related party) for a nominal Rs 4,560. Subject to shareholder approval by special resolution. Expected completion by October 30, 2026. Proceeds will be used for general corporate purposes.
