Sharvaya Metals board approved acquiring 100 percent of Success Electronics Private Limited through a share swap valued at about INR 30.24 crores. Swap ratio is 2 to 21 (21 Sharvaya shares for every 2 Success shares), with the deal priced at INR 144 per share. Success manufactures aluminium high pressure die-cast components for EVs and automotive, reported FY26 turnover of INR 9.47 crores and net profit of INR 1.01 crores, and is debt free. It will become a wholly owned subsidiary. The transaction is a related party deal as promoter Mr Shreyans Katariya is also a director in Success. Board also approved issuing 8.11 lakh convertible warrants at INR 144 each to raise about INR 11.67 crores cash.
Share dilution expected as 21 lakh new shares will be issued; deal adds EV component manufacturing but no cash outflow due to share swap structure.
