Shreeji Translogistics' Board approved the sale of its entire 51% stake (5,100 equity shares) in subsidiary TKD Digitrans Tech Private Limited for just Rs. 51,000, which is the face value of the shares. The subsidiary had a negative net worth of Rs. 48.49 lakhs and contributed only 0.02% (Rs. 5.75 lakhs) to consolidated revenue in FY25, making it effectively a loss-making, non-core unit being offloaded. The buyers include promoter and Wholetime Director Mr. Rupesh Shah and promoter group member Mr. Rakshit Shah, making it a related-party transaction done at arm's length. Separately, the Board appointed M/s. G. P. Kapadia & Co. as statutory auditors for 5 years and re-appointed four independent directors for a second 5-year term starting 28th November 2025.
The financial impact is negligible since the subsidiary is tiny and value-destroying. However, the related-party nature of the sale (promoters buying the shares) may attract shareholder attention, even though it's structured at arm's length.
