Shriram Finance has allotted 47,11,21,055 equity shares (face value Rs. 2) to Japan's MUFG Bank Ltd. at Rs. 840.93 per share, which includes a premium of Rs. 838.93, for an aggregate consideration of about Rs. 3,961.8 crores. The allotment was approved by the board on April 8, 2026 under an Investment Agreement signed in December 2025. After the allotment, MUFG Bank holds a 20% stake in the company, and Shriram Finance's paid-up equity capital rises from 188.16 crore shares to 235.27 crore shares (about 25% increase in share count). The shares will be locked in as per SEBI rules and will rank pari-passu with existing equity shares.
This brings a marquee global strategic investor (MUFG, one of Japan's largest banks) onto the cap table with a significant 20% holding, strengthening the company's capital base and credibility. Existing shareholders face ~25% dilution from the new share issuance, though the strong institutional endorsement may support long-term valuation.
