Signatureglobal has completed the share transfer and subscription transaction with RMZ (Millennia Realtors Private Limited) involving its subsidiary Gurugram Commercity Limited (GCL). The company sold its 35.69 lakh equity shares in GCL to RMZ for about Rs. 56.70 crores at ~Rs. 158.84 per share. Separately, RMZ subscribed to 7.78 crore fresh equity shares of GCL for about Rs. 1,236.77 crores. Post-transaction, Signatureglobal and RMZ each hold 50% in GCL, and GCL has ceased to be a subsidiary of Signatureglobal, becoming a 50:50 joint venture with effect from 30th March 2026. The move also includes the earlier-announced acquisition of a residential project from GCL by the company.
The company has lost full control over GCL but retained a 50% economic interest with RMZ as an equal partner, which could provide capital relief while sharing future project economics. Shareholders should note the significant capital infusion of over Rs. 1,200 crores into GCL from RMZ and the strategic shift from subsidiary to JV status.
