With reference to our letter dated 26th September 2025, we would like to inform you that, today i.e. 30th September 2025, the Company has received the certified copy of the Order passed by the Hon ble NCLT sanctioning the Scheme of Arrangement ( Scheme ) between SKF India Limited ( Demerged Company or Company ) and SKF India (Industrial) Limited ( Resulting Company ) and their respective shareholders and creditors under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013, providing for the demerger of the Company s Industrial Business (as defined in the Scheme) to SKF India (Industrial) Limited.The Scheme shall become effective upon filing of the aforesaid certified true copy of the NCLT Order with the Registrar of Companies, Pune. The Company will separately notify the Effective Date of the Scheme and the Record Date .

SKF India has received the certified copy of the NCLT Mumbai order dated 26 September 2025 sanctioning the demerger of its Industrial Business into wholly-owned subsidiary SKF India (Industrial) Limited. Under the scheme, shareholders of SKF India will receive 1 equity share of the Resulting Company (face value ₹10) for every 1 share held in SKF India (face value ₹10), and the new entity will be separately listed on BSE and NSE. The scheme was originally approved by the boards on 26 December 2024, received no-objection letters from BSE and NSE on 28 March 2025, and the share entitlement ratio was confirmed as fair by PwC as the registered valuer. The scheme will become effective only after the certified order is filed with the Registrar of Companies, Pune, with the effective date and record date to be notified separately. The demerger aims to separate SKF India's automotive and industrial businesses to allow independent strategic, capital, and operational focus for each segment.
Once effective, existing shareholders of SKF India will hold shares in both the continuing automotive-focused SKF India and the newly listed SKF India (Industrial) Limited, offering clearer visibility into each business and the option to invest in either independently.
