SML Isuzu has informed the stock exchanges that the Shareholders' Agreement between its two foreign shareholders — Sumitomo Corporation (43.96%) and Isuzu Motors (15%) — dated 25 November 2011 has been terminated with effect from 1 August 2025. This follows the completion of share purchase agreements (SPA 1 and SPA 2, along with their amendments) under which Mahindra & Mahindra (M&M) acquired the entire stakes held by both Sumitomo and Isuzu in SML Isuzu. As a result of the share transfers, Sumitomo and Isuzu have ceased to be shareholders of the company, making the 2011 Shareholders' Agreement redundant. With this, M&M has effectively become the controlling shareholder of SML Isuzu, ending the long-standing joint-ownership structure between the three partners.
For shareholders, this marks the conclusion of a major ownership transition — M&M is now the dominant shareholder, which could lead to rebranding, strategic restructuring, or operational changes at SML Isuzu.
