Roadway Solutions India Infra Limited, along with persons acting in concert Ameet Harjinder Gadhoke and Teja Ranade Gadhoke, has triggered a mandatory open offer to buy up to 82,64,942 equity shares (25.02% of voting share capital) of Soma Textiles & Industries Limited at ₹47.14 per share, aggregating to about ₹38.96 crores. This offer follows a Share Purchase Agreement (SPA) dated July 9, 2025, under which the acquirer and PACs will purchase 2,47,68,058 shares (74.98% stake) from the existing promoter group — the Somany family and related entities — for ₹87.67 crores. Post-transaction, the acquirer and PACs will hold 100% of the voting share capital, and the current promoters will completely exit. The acquirer has stated no intention to delist the company, and has confirmed adequate financial resources to fund the open offer.
This is a change-of-control transaction where the current Somany family promoters are selling their entire stake to Roadway Solutions India Infra. Public shareholders can tender their shares at ₹47.14 in the open offer, while the stock may trade near or below this price until the offer closes. The acquirer has indicated no delisting plans but will need to bring down non-public shareholding to comply with minimum public shareholding norms.
