Source Industries has undergone a complete change of control after the open offer by four acquirers (Mr. Sudhir Reddy Posireddy, Mr. Naraharisetty Mohan Krishna, Mrs. Swathi Ramreddy, and Arka Defence Private Limited) was completed on July 28, 2025, making them the new promoters. The entire board was reconstituted: Mr. Sudhir Reddy Posireddy was appointed as Chairman and Managing Director (holds ~29.8 lakh shares), Mr. Naraharisetty Mohan Krishna and Mrs. Ramreddy Swathi as Whole-Time Directors, and two new Independent Directors joined. The previous Managing Director (Mr. Sudhakar Navath), one Independent Director, and one Non-Executive Director all resigned due to the takeover. Statutory auditors M.N. Rao & Associates also resigned and were replaced by PRSV & Co LLP for a 5-year term. The company also approved renaming to 'Bharat Rail and Defence Limited', increasing borrowing limits to Rs. 100 crore, shifting the registered office, and altering its object clause. Q1 FY26 results showed a marginal net profit of Rs. 0.11 lakh on total income of Rs. 2.17 lakh, a turnaround from a loss of Rs. 1.39 lakh in the same quarter last year.
