South West Pinnacle Exploration Limited (SWPE) has accepted an offer to subscribe to 1.25 crore ordinary shares of Alara Resources Limited (ARL), an Australia-listed mining and exploration company, at AUD 0.04 per share for a total of AUD 5,00,000 (approximately INR 2.80 Crores). This is a related party transaction since SWPE's promoter Mr. Vikas Jain is a director and shareholder of ARL, and the deal will be done on an arm's length basis. Post-acquisition, SWPE will hold 1.56% in ARL, which is in the same line of business (mining and exploration of copper, zinc, silver, and gold in Oman) and has existing JVs with SWPE. The investment will be made in cash through the automatic route under FEMA Overseas Investment Rules, 2022, and is expected to be completed in about one month. ARL reported a turnover of AUD 5.46 million in 2024.
This is a relatively small investment (INR 2.80 Crores) that deepens SWPE's existing partnership with its Oman JV partner, potentially bringing operational synergies.
