Springform Technology's board, at its meeting on 14 July 2025, approved the acquisition of 100% equity shares of Inertia Aluminium Private Limited for a total cash consideration of just ₹1,00,000 (One Lakh). Inertia Aluminium, incorporated in October 2022, is a small company in the aluminium products business (plates, sheets, coils, foils) with a turnover of about ₹51.2 lakh in FY24 and ₹91 lakh in FY23. Once completed, the target will become a wholly-owned subsidiary of Springform. The deal is a related party transaction, as the promoters of Springform hold shares in Inertia Aluminium. The acquisition is expected to close within 30 days and no regulatory approvals are required.
The deal is financially very small — the purchase price of ₹1 lakh is nominal, suggesting the target is being acquired largely for its business fit rather than its scale. For shareholders, the strategic logic of moving into aluminium value-added products is positive, but the related-party nature and tiny deal size mean this is unlikely to move the stock meaningfully on its own.
