The NCLT Bengaluru Bench has approved a Scheme of Arrangement for Demerger involving two subsidiaries of Strides Pharma. Arco Lab, a wholly owned subsidiary, will demerge its Life Sciences and Digital Innovation businesses (the Demerged Undertaking) into Pivot Path, another wholly owned subsidiary. The tribunal pronounced its order on May 18, 2026, with the official order available on May 20, 2026. Upon the scheme becoming effective, Pivot Path will become a direct wholly owned subsidiary of Strides Pharma, and Strides will receive equity shares in Pivot Path as per the share entitlement ratio in the scheme. The demerger has a retroactive appointed date of April 10, 2025. The companies will file the certified order with the Registrar of Companies to make the scheme effective.
This is an internal restructuring within the Strides group, creating a clearer separation of business divisions. Strides shareholders will eventually hold equity in Pivot Path, which houses the demerged businesses. The impact on Strides' stock price is likely neutral to modestly positive as the restructuring may unlock value in the subsidiary structure.
