Sudarshan Pharma Industries has signed an MOU to acquire 76% (1.24 crore shares at Rs.10 each) in an unnamed Vizag-based pharma company with a 576.10 KL manufacturing plant across 4 blocks. Target holds US FDA, WHO Geneva, Anvisa, and ISO accreditations. Target turnover was Rs.15,437 lakhs in FY25-26, Rs.15,355 lakhs in FY24-25, and Rs.19,247 lakhs in FY23-24. Deal aims for backward integration and end-to-end manufacturing. Consideration is cash plus 40 lakh promoter shares. Target will become a subsidiary. Expected to close by 10 October 2026. Not a related party transaction.
Strategic acquisition to make target a subsidiary, adding manufacturing capacity and global accreditations. Likely positive for long-term growth, pending due diligence.
